All payments of installments under this 957 division shall be deposited in accordance with division (E) of 958 this section. (C) Upon payment of the first installment of the 960 consideration, as described in division (B) of this section, the 961 Auditor of State, with the assistance of the Attorney General, 962 shall prepare a deed to the real estate described in Section 1 of 963 this act. The deed shall state the consideration and shall be 964 executed by the Governor in the name of the State, countersigned 965 by the Secretary of State, sealed with the Great Seal of the 966 State, presented in the Office of Auditor of State for recording, 967 and delivered to The Ohio State University. The Ohio State 968 University shall present the deed for recording in the Office of 969 the Wayne County Recorder. 970 (D) The Ohio State University shall pay the costs of the 972 conveyance described in division (A) of this section. 973 (E) The net proceeds of the consideration received 975 pursuant to the conveyance described in division (A) of this 976 27 section shall be deposited as follows: 977 (1) The net proceeds of the first and second installments 979 shall be deposited in Fund 152, Miscellaneous Revenue, the 982 Department of Mental Retardation and Developmental Disabilities. 983 The funds so deposited shall be used for the demolition of Macintosh Hall. 984 (2) The net proceeds of the third installment shall be 986 deposited in the trust account, the Apple Creek Developmental 987 Center I and E Fund of the Department of Mental Retardation and 988 Developmental Disabilities and shall be used for programs and 989 projects to enhance the lives of the residents of the Apple Creek 990 Developmental Center. 991 No moneys derived from the conveyance described in division 993 (A) of this section shall be used for purposes of employment, 994 staffing, salaries, or other employee benefits. 995 (F) If The Ohio State University fails to make any of the 997 consideration payments as described in division (B) of this 998 section, all right, title, and interest in the transferred real 999 estate shall immediately revert to the state for the use and 1,000 benefit of the Department of Mental Retardation and Developmental 1,001 Disabilities without the need for further action by the grantor. 1,002 (G) The conveyance described in division (A) of this 1,004 section shall not proceed until the Director of Mental 1,005 Retardation and Developmental Disabilities has approved a plan 1,006 for the buffer zone of the land, known as the "Buffer Zone Plan," 1,007 which the College of Food, Agriculture, and Environmental 1,008 Sciences of The Ohio State University shall develop and present 1,009 to the director. The plan shall consist of a comprehensive, 1,010 detailed, and specialized landscaping plan for portions of the 1,011 real estate that are to be conveyed pursuant to division (A) of 1,012 this section and that are adjacent to the Apple Creek 1,013 Developmental Center. The "Buffer Zone Plan" shall identify the area under the jurisdiction of the plan, inventory proposed tree 1,014 and vegetation installations, and provide a timetable for 1,015 28 completion of the plan, taking into account visual impact and 1,016 scientifically sound odor management principles. 1,017 (H) The "Buffer Zone Plan" described in division (G) of 1,019 this section shall be developed by the College of Food, 1,020 Agriculture, and Environmental Sciences of The Ohio State 1,022 University and implemented by the College at the College's sole 1,023 expense within three years after the effective date of this act. 1,024 If the College has not implemented the plan as approved by the 1,026 Director of Mental Retardation and Developmental Disabilities 1,027 pursuant to division (G) of this section, all right, title, and 1,028 interest in the transferred real estate shall immediately revert 1,029 to the state for the use and benefit of the Department of Mental 1,030 Retardation and Developmental Disabilities without the need for 1,031 further action by the grantor. (I) The conveyance of the real estate described in 1,033 division (A) of this section is subject to the conditions that 1,034 The Ohio State University and its College of Food, Agriculture, 1,035 and Environmental Sciences accept the real estate subject to a 1,036 former Indian burial ground that is believed to be located on the 1,037 real estate in or near the wooded plot southeast of the 1,038 intersection of Ely Road and Barnard Road in Wayne County, and 1,039 that The Ohio State University and its College of Food, 1,040 Agriculture, and Environmental Sciences assume all obligations 1,041 associated with that former Indian burial ground. If The Ohio 1,042 State University and its College of Food, Agriculture, and 1,043 Environmental Sciences do not assume such responsibilities as 1,044 provided in this section, all right, title, and interest in the 1,045 transferred real estate shall immediately revert to the state for 1,046 the use and benefit of the Department of Mental Retardation and 1,047 Developmental Disabilities without the need for further action by 1,048 the grantor. (J) The conveyance of the real estate described in 1,050 division (A) of this section is contingent upon The Ohio State 1,052 University's satisfaction with the result of a due diligence 1,053 29 investigation of the real estate, which The Ohio State University 1,054 shall conduct. If The Ohio State University is not satisfied with the result of its investigation, it may, as soon as 1,056 reasonably feasible after the effective date of this act, provide 1,057 written notice of its intent not to proceed with the conveyance 1,058 to the Director of Mental Retardation and Developmental Disabilities and shall have no further obligation with respect to 1,059 the conveyance. 1,060 (K) The conveyance of the real estate described in 1,062 division (A) of this section is contingent upon The Ohio State 1,064 University obtaining a title insurance commitment to issue a 1,065 title insurance policy insuring the real estate satisfactory to 1,066 The Ohio State University as soon as reasonably feasible after 1,067 the effective date of this act. If The Ohio State University 1,069 does not obtain title insurance that it considers satisfactory, 1,070 it may, as soon as reasonably feasible after the effective date 1,071 of this act, notify the Director of Mental Retardation and 1,073 Developmental Disabilities that it does not intend to proceed 1,074 with the conveyance and shall be under no further obligation with 1,076 respect to the conveyance. (L) The conveyance of the real estate described in 1,078 division (A) of this section is contingent upon the approval of 1,080 the conveyance by the Board of Trustees of The Ohio State 1,081 University, if the board determines that its approval is 1,082 necessary. The Ohio State University may, if its Board of 1,083 Trustees has failed to approve the conveyance, notify the 1,085 Director of Mental Retardation and Developmental Disabilities as 1,086 soon as reasonably feasible after the effective date of this act 1,087 that it does not intend to proceed with the conveyance and shall 1,088 have no further obligation with respect to the conveyance. 1,089 (M) The conveyance of the real estate described in 1,091 division (A) of this section is subject to all easements 1,093 including an easement of the State of Ohio with regard to one 1,094 producing water well that currently supplies the Apple Creek 1,095 30 Developmental Center, which easement shall be retained by the 1,097 State of Ohio and remain under the jurisdiction of the Department 1,098 of Mental Retardation and Developmental Disabilities. The 1,099 Department shall maintain and repair, at its expense, this well 1,101 and the lines transporting water to the Apple Creek Developmental 1,102 Center. The Ohio State University and its College of Food, 1,103 Agriculture, and Environmental Sciences shall take no action that 1,104 would interfere with continued production of potable water from 1,106 the identified well. The Department shall maintain well head 1,107 pumps or supply lines, or both, between the well location and the 1,108 Apple Creek Developmental Center. 1,109 (N) The conveyance of the real estate described in 1,111 division (A) of this section is subject to the condition that The 1,114 Ohio State University not convey any or all of the real estate 1,115 conveyed to it pursuant to this act to any nonstate entity for a 1,116 period of ten years from the effective date of this act. If The 1,117 Ohio State University conveys the real estate contrary to the 1,118 provisions of this section, all right, title, and interest in the 1,119 transferred real estate shall immediately revert to the state for 1,120 the use and benefit of the Department of Mental Retardation and 1,121 Developmental Disabilities without the need for further action by 1,122 the grantor. (O) If any of the four existing water wells serving the 1,124 Apple Creek Developmental Center ceases to produce potable water, 1,125 the Department of Mental Retardation and Developmental 1,126 Disabilities shall explore replacement of any such well that 1,127 ceases to produce sufficient potable water and shall seek a well 1,128 site that is within the real property remaining under the 1,129 jurisdiction of the Department. If the replacement water well is 1,131 unable to be located within the real property remaining under the 1,132 jurisdiction of the Department at the Apple Creek Developmental 1,134 Center, the Department may seek, drill, and maintain a water well 1,136 source on the real estate described in division (A) of this 1,137 section at a site mutually agreed upon by the Director of Mental 1,138 31 Retardation and Developmental Disabilities and the Vice-President 1,139 of the College of Food, Agriculture, and Environmental Sciences 1,140 of The Ohio State University. Any replacement water wells must 1,141 produce, in concert with the remaining well sources, potable 1,142 water to the Apple Creek Developmental Center in an amount 1,143 sufficient to adequately supply the needs of the Apple Creek Developmental Center as determined by the Director. 1,144 (P) Upon the conveyance of the real estate described in 1,146 division (A) of this section, the Inter-Agency Lease between the 1,147 Department of Mental Retardation and Developmental Disabilities, 1,148 through the Department of Administrative Services, and The Ohio 1,149 State University for approximately 1272.92 acres of the real 1,151 estate described in division (A) of this section for a period of 1,152 forty years to expire on January 31, 2025, and bearing file No. 1,153 3759-A (the "Lease"), shall automatically terminate and have no 1,154 further force or effect. Humphries, his successors and assigns, shall 1,238 use the real estate described in division (A) of this section 1,240 consistent with the uses ancillary to or necessary for the 1,241 operation of a nursing home, assisted living facility, or other 1,242 residential facility for the housing or care of elderly residents 1,243 and for other uses consistent with the operation of homes or 1,244 facilities of that nature, and in any case shall not otherwise 1,245 use, develop, or sell that real estate in any manner that will 1,246 prohibit "quiet enjoyment" by Twin Valley Psychiatric System and 1,247 34 its residents. (D) Barry K. Humphries agrees to accept the real estate 1,249 described in division (A) of this section in its current 1,250 condition, as is, and further agrees to prohibit placement of any 1,251 toxic, hazardous, or contaminant materials on the surface of the 1,252 that real estate that could penetrate the grounds or disrupt the 1,253 services, supplies, or operational systems of the adjacent 1,254 state-owned lands. 1,255 (E) Upon payment of the consideration, as described in 1,257 division (B) of this section, the Auditor of State, with the 1,258 assistance of the Attorney General, shall prepare a deed to the 1,259 real estate described in division (A) of this section. The City of Massillon shall 1,357 provide all agreed upon remuneration to the Ohio Department of 1,358 Mental Health within three years. 1,359 (C) After control of parcels 1 and 2 of the property 1,361 described in division (A) of this section is transferred to the 1,362 City of Massillon, the Heartland Behavioral Healthcare 1,363 Organization/Massillon Campus shall continue to have use of 1,364 building 8.031 and the connected substation, located on parcel 2, 1,365 and necessary access thereto, until it no longer has a need for 1,366 the building and substation, which in no case shall be later than 1,367 September 14, 2005. 1,368 (D) Transfer of parcel 3 of the property described in 1,370 division (A) of this section shall occur within three years of 1,371 the effective date of this act. Concurrent with the transfer of 1,372 parcel 3 of the Property, the City of Massillon shall pay to the 1,373 Ohio Department of Mental Health the appraisal price acceptable 1,374 to the State, or another price as negotiated between the Ohio 1,375 Department of Mental Health and the City of Massillon. The 1,376 payment shall be in cash and/or payment schedule and cash 1,377 equivalent obligation of the City of Massillon to provide 1,378 designated services to the Heartland Behavioral Healthcare 1,379 Organization/Massillon Campus as agreed to by both parties. The 1,380 City of Massillon shall provide all agreed upon remuneration 1,381 within two years of the transfer. 1,382 (E) After control of parcel 3 of the property described in 1,384 division (A) of this section is transferred, the Heartland 1,385 Behavioral Healthcare Organization/Massillon Campus shall 1,386 continue to have use of the boiler plant identified as building 1,387 8.004 located thereon, and necessary access thereto, until it no 1,388 longer has a need for this boiler plant. 1,389 (F) The City of Massillon agrees that it will not use or 1,391 38 develop the property described in division (A) of this section 1,392 for other than a municipal park, for an educational or 1,393 recreational purpose, or otherwise with the concurrence of the 1,394 Ohio Department of Mental Health, and that it will not sell the 1,395 Property for any use or development beyond these purposes. The 1,396 "quiet enjoyment" of the adjacent property by the Heartland 1,397 Behavioral Healthcare Organization/Massillon Campus, the Ohio 1,398 Department of Mental Health, and the residents of the Heartland 1,399 Behavioral Healthcare Organization/Massillon Campus are critical 1,400 factors in this transaction. 1,401 (G) Upon payment of the first installment of the 1,403 consideration, as described in division (B) of this section, the 1,404 Auditor of State, with the assistance of the Attorney General, 1,405 shall prepare a deed to the real estate described in division (A) 1,406 of this section.
